In exchange for your agreement to these terms, PROBICS Informatics Solutions and its affiliates (“PROBICS” or “we” or “us”) intend to provide you with a web link to open your medical images from anywhere. Our goal is to collect your medical images, process it and develop a web-link to view the images

1. What & Why We Record. We’ll create a web-based link to open and view DICOM images. The DICOM images will be provided by you with your consent. The DICOM images provided by you will be any of Radiology exams like MRI, CT, X Ray, Ultrasound, Fluoroscopy, Mammography or Nuclear Medicine images.

2. The Rights You Give Us. You agree that PROBICS can use your Medical images to create the web-link and you agree to provide us any required data to do so. You give us permission to use the Medical Images, including your (or the Patient’s) name and other demographics. You also agree that we may contact you by email or by phone in the to discuss about the process and feedback.

3. Confidentiality. The web- link we are providing is to share with Physicians and Medical personnel only. Confidential Information means any and all information that I may providing to PROBICS. This information is automatically private or secret. Confidential Information about a patient includes name, address, diagnosis, medical information, medical notes, employee information, pictures, and medical records including x-rays and medications, as well as any description that could cause any person to become aware of the identity of a patient.

4. Nondisclosure of Confidential Information. The Receiving Party (PROBICS) may disclose Confidential Information only to the Receiving Party’s Representatives, but only if such Representatives need to know the Confidential Information in connection with the evaluation of the Data. The Receiving Party agrees that (a) such Representatives will be informed by the Receiving Party of the confidential nature of the Confidential Information, and (b) the PROBICS will be responsible for any breach of this Agreement by itself or any of its Representatives. The Receiving Party shall not disclose the Confidential Information to any person other than as permitted hereby and shall safeguard the Confidential Information from unauthorized disclosure. PROBICS will require its Representatives to use at least the same degree of care to protect the Disclosing Party’s Confidential Information as is used by the Receiving Party in protecting its own proprietary and Confidential Information.

5. PROBICS Cannot Use the Medical Images in Marketing Materials and Presentations.

PROBICS does not have permission to use the Medical Images provided by you and the web-link created in advertisements or marketing material without first receiving your separate written consent.

6. Return of Information. Upon the Disclosing Party’s request, PROBICS and its Representatives shall promptly deliver to the Disclosing Party or destroy (at the Disclosing Party’s election) all Confidential Information and all copies of any analyses, compilations, studies or other documents prepared for use in connection with PROBICS’s consideration of a Transaction containing or including any confidential information.

7. Right to Disclose. The Disclosing Party represents and warrants to PROBICS that it has the right to disclose the Confidential Information to the Receiving Party.

8. Use of Unreleased Services. Only final confirmed web-link only to be used. Any feature or product we are still testing and evaluating prior to release may not yet meet our high standards. For this reason, the use of any beta or other unreleased product is at your own risk. PROBICS specifically disclaims all liability arising from or in connection with use of any unreleased products provided to you as part of this study or under these terms.

9. Miscellaneous. This agreement is governed by the laws of the State of Kerala, India. Any claims relating to this agreement will be resolved in the place of transaction, though we’d love to resolve things informally first. Please also note that this agreement supersedes any prior or present agreement on this topic between you and us, and we may assign our rights and obligations under this agreement to others.
